Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Nuvopad ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms apply to all versions of Nuvopad, including the free version and the Pro upgrade.

2. The App

Nuvopad is a desktop Markdown editor for Windows developed and maintained by Cybesis Studios ("we," "us," or "our"). The App is provided as-is for personal and professional note-taking, writing, and knowledge management.

The App is distributed through the Microsoft Store and is subject to Microsoft Store policies in addition to these Terms.

3. License

3.1 Free Version

Nuvopad grants you a personal, non-exclusive, non-transferable, revocable license to install and use the free version of the App on Windows devices you own or control, subject to these Terms.

3.2 Pro Upgrade

The Pro upgrade is a one-time in-app purchase made through the Microsoft Store. Upon purchase, you are granted an expanded license to access Pro features on the device and Microsoft account associated with the purchase. There are no recurring fees or subscriptions.

3.3 Restrictions

You may not:

• Reverse-engineer, decompile, or disassemble the App (beyond what open-source licenses permit)
• Rent, lease, sublicense, or resell the App
• Use the App for any unlawful purpose
• Attempt to circumvent or crack the Pro license verification

4. Open Source

Nuvopad is open source software. The source code is available at github.com/miztizm/nuvopad under its stated license. Open-source contributions and forks are welcome and governed by the repository's LICENSE file, not these Terms.

5. Your Content

You retain full ownership of all content you create, store, or manage using the App. We do not claim any rights to your notes, notebooks, tags, or any other content you create.

Since Nuvopad is offline-first, your content is stored exclusively on your device. You are solely responsible for backing up your data. We accept no liability for data loss resulting from device failure, user error, or use of the Factory Reset feature.

6. Factory Reset

The App includes a "Reset All Data" feature that permanently and irreversibly deletes all locally stored notes, notebooks, tags, settings, and attachment files. By using this feature, you acknowledge that the deletion is final and that we cannot recover your data. Always back up important notes before performing a factory reset.

7. Pro Purchases and Refunds

Pro upgrade purchases are processed exclusively through the Microsoft Store. Refund requests are governed by Microsoft Store's refund policy, not by us.

If you believe you have been charged incorrectly or have a billing dispute, please contact Microsoft Store support directly. We do not have access to your payment information.

8. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be error-free, uninterrupted, or that defects will be corrected.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Cybesis Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from your use of or inability to use the App, even if advised of the possibility of such damages.

10. Updates and Changes

We reserve the right to update the App and these Terms at any time. App updates are delivered through the Microsoft Store or as direct downloads from our GitHub repository. Changes to these Terms will be reflected with a new "Last Updated" date.

Continued use of the App after changes to these Terms constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising out of or related to these Terms or the App shall be subject to the exclusive jurisdiction of the relevant courts.
